1. Acceptance of Terms

By downloading, installing, or using StayAwake (“the App”) or visiting (“the Website”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, do not install or use the App or Website. These Terms form a legally binding agreement between you and StayAwake.

2. Description of Service

StayAwake is a Windows desktop utility that prevents your PC from sleeping using the official Windows SetThreadExecutionState API. The App operates as a standard user process — no elevated privileges or kernel drivers are required. The App is offered under two tiers:

• Free tier — system-awake mode with no time limit, plus a 14-day full Pro trial on first install.
• Pro tier — display-awake mode, Teams/Slack presence, tray minimisation, autostart, timer mode, scheduling, battery awareness, and priority support.

3. Software Licence

Subject to these Terms and payment of any applicable fees, StayAwake grants you a limited, personal, non-exclusive, non-transferable licence to install and use the App on machines you own or control, up to the machine limit of your plan.

You may not:

• Reverse engineer, decompile, or disassemble the App
• Modify, adapt, or create derivative works based on the App
• Redistribute, sell, sublicense, or transfer the App or your licence
• Remove or obscure any copyright or proprietary notices

4. Pro Subscription & Billing

Pro features require an active paid subscription or a Lifetime licence. Subscriptions are billed in advance on a monthly or annual basis at the rate displayed on the pricing page at the time of purchase.

• Payments are processed by Paddle, who acts as the Merchant of Record. Paddle's own terms and privacy policy govern the payment transaction.
• Subscriptions renew automatically unless cancelled before the renewal date. We send a reminder email 3 days before each renewal.
• You may cancel at any time from your account dashboard. Cancellation takes effect at the end of the current paid period — there is no immediate cutoff.
• We reserve the right to change pricing. Existing subscribers will receive at least 30 days' notice of any price increase before it applies.

5. Machine Activation

Pro licences may be activated on a limited number of concurrent machines as specified in your plan (currently 2 for subscriptions, 1 for Lifetime). Licence sharing, redistribution, or use by persons other than the original purchaser is not permitted.

You may deactivate a machine at any time from your account dashboard to free up a slot for a different machine. Activation is enforced server-side via a machine fingerprint — a non-reversible hash of hardware identifiers that cannot identify you personally.

6. Acceptable Use

You agree not to use the App or Website to:

• Violate any applicable law, regulation, or third-party policy
• Misrepresent your availability or activity to your employer or to third-party services in a manner that constitutes fraud or deception
• Attempt to bypass, disable, or circumvent licence enforcement mechanisms
• Use automated tools to scrape, abuse, or overload the StayAwake API or Website
• Share or resell your Pro subscription or activation credentials

We reserve the right to suspend or terminate access for any violation of this section without refund.

7. Intellectual Property

The App, Website, and all associated content — including code, graphics, icons, branding, and documentation — are owned by StayAwake and protected by copyright and other intellectual property laws. Nothing in these Terms transfers any ownership rights to you.

8. Availability & Updates

We aim to keep the service available and up to date, but we do not guarantee uninterrupted access. We may release updates, modify features, or discontinue the service at any time. We will provide reasonable notice for material changes that affect paid subscribers.

9. Disclaimer of Warranties

The App is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the App will be error-free, uninterrupted, or compatible with every system configuration.

10. Limitation of Liability

To the fullest extent permitted by applicable law, StayAwake and its developers, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App or Website, including but not limited to lost profits, lost data, system downtime, or any disciplinary action taken against you by your employer or a third party.

Our total aggregate liability for any claim arising under these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Termination

You may stop using the App at any time. We may terminate or suspend your account immediately if you breach these Terms. Upon termination, your licence to use the App ends and you must uninstall it. Termination does not entitle you to a refund except as described in our Refund Policy.

12. Changes to Terms

We reserve the right to update these Terms at any time. We will notify active Pro subscribers of material changes via email at least 14 days before they take effect. Continued use of the App after the effective date constitutes acceptance of the revised Terms. The “Last updated” date above reflects the most recent revision.

13. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through good-faith negotiation in the first instance.
